As is required by the Constitution of the IIA SA, at every Annual General Meeting (AGM) nominations shall be obtained and presented to members for election to fill vacancies on the Board. The Board has 4 vacancies (Chair, Vice Chair and 2 directors) to be filled and members are invited to nominate themselves or other suitably qualified members to be presented to members at the AGM for election.

The activities of the Board are guided by the Memorandum of Incorporation and the By-Laws. These documents can be accessed on the IIASA Website by following the link below:

Guidelines:

• The Institute is a Non-Profit Company. All Directors are therefore subject to the
   Companies Act;

• Directors serve in a voluntary capacity, and receive no remuneration;

• There are approximately six (6) Board meetings per annum. Directors are required
   to serve on Board and/or Advisory Committees; the positions, therefore, require
   dedication and time sacrifice;

• To be eligible for election, a candidate has to be a member in good standing before
   the list of nominees is finalised.

• These are senior leadership positions in the profession, and candidates should
   preferably be certified and should be serving in senior positions.

All valid nominations will be forwarded to every member for the voting process to commence - either by proxy or in person at the AGM.

Nominations from the floor during the course of the meeting will not be accepted.
