Judge Approves Taylor Corp. Bid to Buy Standard Register


In a development that surprised some PSDA members and other print industry insiders, Minnesota-based Taylor Corp. outbid hedge fund Silver Point Capital to buy Standard Register’s assets. A Delaware bankruptcy judge tentatively approved the sale. Taylor Corp., which owns PSDA member Navitor and several other entities, submitted a winning bid of $307 million for SR.

Two things must be resolved before final approval of the sale — outstanding objections by various creditors and settlement of a complaint filed against Silver Point by SR’s official creditors committee. SR’s list of creditors includes several PSDA members, including three that are owed more than $100,000.

SR had filed for bankruptcy protection in March 2015, simultaneously announcing a $275 million buyout agreement with Silver Point. But Taylor Corp. entered the fray and increased its bid at the eleventh hour to make it the top bidder, according to court documents and published reports.

It remains to be seen whether Taylor Corp. shuts down SR’s production plants and rolls them into its own existing facilities. SR’s production lines mainly consist of printed forms and communication services for the health care, commercial, financial services and industrial markets.

Many PSDA members began their careers with SR and received industry training there. Also, many distributor members face SR when trying to win or keep large accounts, including hospitals, manufacturing firms and retailers.

SR has been in the news frequently during the last few years, including in 2013, when it acquired the large print management specialist WorkflowOne, LLC in a $218 million deal. WorkflowOne was a combination of Relizon (which included the former Reynolds & Reynolds’ non-automotive forms division) and SFI.

Appleton Coated Reveals Winners, Including the Printers, of U360 Design Competition

Appleton Coated congratulates the U360 Design Competition’s 2015 winners and presents them in its online gallery at appletoncoated.com and in "One," the printed showbook. Six creative professionals from the Appleton Coated Design Council evaluated hundreds of entries and selected the best examples demonstrating the impact of well-executed print.

"The creative minds behind the U360 winning entries are those who dared to up the ante, to feud with the familiar and to outwit the ordinary," said Ferkó Goldinger, Appleton Coated’s marketing manager. "They boldly stand apart from the rest. They deserve to be celebrated as extraordinary examples of all that vision, design and paper make possible, sparking inspiration and aspiration through printed communication."

Now in its seventh year, U360 celebrates design, content and printing excellence, and all that paper makes possible. Appleton Coated introduced U360 in 2009 as a new, professionally-reviewed North American competition. It evolved from the successful legacy of the U B the Judge event-based, peer-judged format.

Submissions to the 2016 U360 Competition must be printed all, or in part, on Utopia and/or Curious Collection, accompanied by a completed entry form and produced in 2015. Entries for the 2015 U360 Design Competition are due Dec. 4, 2015. Special awards honor entries in the categories of Best of Show, Design Excellence, Print Excellence, Communication Excellence and Regional Excellence.

"Folder Mission: Possible: Brings in the Gold for Admore

The Secret Agent Halloween Promotion, "Folder Mission: Possible," created by Admore, a division of Ennis, Inc., won the FSEA Gold Leaf Award in the category of Digital UV Inkjet. This competition, sponsored by the Foil and Specialty Effects Association recognizes the best in the specialty finishing processes through 35 categories that include foil stamping, embossing, specialty coating, film laminating, laser cutting, diecutting, cold foil application and more.

The 2014 Halloween promotion was inspired by the television show, and movie, "Mission: Impossible." The folder is printed in four color process with soft-touch film lamination and fully accented in both gloss and patterned digital UV. The levels of spot coating range from 9 microns to 60 microns. The highest levels of coating have a 3D effect and mimic embossing. Included in the folder pocket is a secret decoder and clues which ultimately lead a customer to find the best folder company, Admore. Completing the mission earns the dealer their secret agent credentials and some special offers from Admore.

"Our annual Halloween promotion is so popular we tend to use it to showcase any new processes we have to offer our customers, and this one was no exception," said Bill Tignanelli, Admore’s General Manager. "The variety of different applications of digital UV really show a customer what is possible on their own folder."
Tax Leaders Ramp Up for New ACA Reporting Requirements

Beginning January 2016, the Affordable Care Act (ACA) Employer Shared Responsibility Rule, under IRS Code Sections 6055 and 6056, will require employers to file annual information returns with the IRS and deliver employee statements with health plan coverage information. This new reporting requirement is in addition to capturing healthcare costs on Form W-2.

The impact of these changes will be tremendous. In fact, experts estimate that 300 million new tax forms will be filed in the upcoming season. ComplyRight Distribution Services – comprised of TFP Data Systems and Apex Business Systems – is keeping close tabs on these developments and actively preparing for this emerging sales opportunity.
